London, September 14, 2026 – AURELIUS, a global private equity investor distinguished and widely recognised for its operational approach, has agreed to acquire Hain International, the UK and European business of The Hain Celestial Group (NASDAQ: HAIN).

Hain International is a leading European platform in healthy and better-for-you food and beverage categories, comprising a portfolio of market-leading brands and scaled private-label capabilities. The business operates across six core categories: Baby & Kids (Ella’s Kitchen), Spreads & Jellies (Hartley’s, Sun-Pat, Robertson’s, Frank Cooper’s, and Rose’s), Soups (New Covent Garden Soup Co., Yorkshire Provender, and Cully & Sully), Non-Dairy Beverages (Joya, Natumi, and Lima), Meat-Free (Linda McCartney), and Desserts. With seven manufacturing facilities across the UK, Germany and Austria, Hain International supplies leading grocery retailers, discounters, foodservice operators, and B2B customers across the UK, Ireland, and Continental Europe. The business employs approximately 1,500 people and generates annual sales of about €600m.

The acquisition of Hain International will establish an independent European food and beverage business with leading brands and production capabilities across multiple categories. Supported by AURELIUS WaterRise, the firm’s operational advisory team, Hain International will build upon its leading market positions, accelerate product innovation, expand its scaled private label partnerships, and optimise operational efficiencies across its manufacturing base and supply chain.

The transaction is expected to close by the end of 2026, subject to closing conditions, including regulatory approvals and an amendment to Hain Celestial’s credit agreement.
